Procedural Posture

Civil Appeal / Judgment

  1. 1 Whether there existed a legally binding contract for provision of services under tender no. SU/QT/001N/2013 between the Appellant and the Respondent.
  2. 2 If a contract existed, whether there was a breach by the Respondent so as to attract damages for breach of contract.
  3. 3 Who bears the costs of the appeal.

Ratio Decidendi

The court found that there was no evidence that the Appellant was awarded the March 2013 tender, nor was there any documentation to imply a binding contract between the parties for the period in question. The only contractual relationship was a short-term extension for three months, which expired on 31/10/2013. The issuance of LPOs during the tender process did not amount to an award of the tender or the creation of a new contract. The conduct of the parties and the documentation produced showed no intention to create further legal obligations beyond the expired contract. Therefore, there was no breach of contract, and the trial court's dismissal of the Appellant's claim was upheld.
