The court found that although the plaintiff breached the agreement by failing to disclose pending litigation, the defendant, by its conduct (executing a deed of indemnity and not rescinding the contract), waived its right to insist on strict compliance with time and disclosure provisions. The doctrine of lis pendens applied, preventing payment of the purchase price balance until the related litigation was resolved.
