The court found that the agreement dated 20th October 2014 was valid and enforceable against the Defendants. The 2nd Defendant, having previously executed agreements on behalf of the 1st Defendant, had ostensible authority to bind the company. The Plaintiff and his family were entitled to assume that the 2nd Defendant was acting for the 1st Defendant. The absence of a Board resolution did not invalidate the agreement, as third parties are not required to inquire into internal company procedures when dealing with directors acting within their apparent authority.
