The Court of Appeal held that while a company is generally a separate legal entity, the circumstances of this case justified lifting the corporate veil. The managing partner of the appellant law firm, Mr. Gikera, was also the majority shareholder and director of the 1st respondent. The application to cease acting was a device to avoid compliance with court orders, as Mr. Gikera could not claim want of instructions from himself in his dual capacity.
