The Court found that the issue of whether the applicant admitted liability for Kshs.941,708/- is arguable and not frivolous, thus satisfying the first limb of Rule 5(2)(b). On the second limb, the Court was satisfied that if the stay was not granted and the respondent was paid, there was a real risk that the applicant would not be able to recover the sum if the appeal succeeded, as the respondent's ability to refund was not sufficiently demonstrated. The applicant had already offered security by way of a bank guarantee. Balancing the interests of both parties, the Court concluded that a stay of execution should be granted on the terms that the existing bank guarantee remains in force...
