The court found that for a company to appoint legal representation in a suit, there must be a specific Board Resolution authorizing such appointment. The only valid Board Resolution produced in respect of this suit, ELC E021 of 2021, was the one dated 4th June 2021, appointing Muriu, Mungai & Co Advocates as advocates for Kangaita Coffee Estates Ltd. The prior resolution relied on by Wahome & Akedi Advocates was limited to a different suit (ELC 115 of 2019) and did not extend to the present matter. Furthermore, there was no evidence that Margaret Nyakinyua Murigu had authority from the other administrators to act alone or to extend instructions to Wahome & Akedi Advocates for this case....
