Ratio Decidendi

The court found that the trial proceedings conducted against the 1st defendant were a nullity because the 1st defendant had been deregistered and therefore did not exist as a legal person at the time of trial. As a result, the 1st defendant lacked legal capacity to be sued or to participate in the proceedings. The subsequent restoration of the 1st defendant to the register of companies did not cure the defect in the earlier proceedings. Accordingly, the court set aside the trial proceedings suo motu and declined to consider the merits of the application to re-open the case, holding that the only proper course was to return the matter for a fresh hearing before a competent court.
