Ratio Decidendi

The Plaintiff failed to prove that the Defendants were indebted for the claimed sum because there was no signed agreement entitling the Plaintiff to charge interest or other charges. The evidence showed that the 1st Defendant had paid a total of Kshs.22,231,337.35, which exceeded the guaranteed amount of Kshs.20,891,600, resulting in a credit balance in favour of the 1st Defendant. Consequently, the 2nd Defendant's guarantee could not be called upon. The Plaintiff's claim was therefore dismissed, and costs awarded to the Defendants.
