Universal solicited and remitted the business to CFC, played a significant role in preparing and presenting the joint bid, and was instrumental in CFC securing the contract. The agency agreement of 2nd November 2005 governed the entitlement to commission, and the court determined that the 2009 contract constituted new business for which Universal was entitled to a first-year commission.
