Procedural Posture

Civil / Judgment

  1. 1 Whether there was an agreement to transfer the mining licence to the joint venture company Blue Rock
  2. 2 Whether failure to transfer the mining licence constituted a breach of contract
  3. 3 Whether Blue Rock was an agent or employee of the 1st defendant

Ratio Decidendi

There was no agreement, express or implied, for the transfer of the mining licence to Blue Rock. The written agreements only provided for the transfer of use of the licence, not the licence itself. The defendants were under no obligation to transfer the licence, and thus there was no breach or fraud. Blue Rock lawfully operated as an agent using the 1st defendant's licence. Plaintiffs suffered no loss due to non-transfer, and their claims fail. Defendants' counterclaim for an account of royalties is allowed.

Court Disposition

Plaintiffs' claims dismissed; Defendants' counterclaim allowed.

Orders
