The contract expressly provided that defendant was the owner and would remain so until plaintiff paid all amounts due, at which point ownership would pass to plaintiff. Defendant's sale of one trailer to a third party before plaintiff had defaulted constituted a breach of this material term. Defendant did not validly terminate the contract for any alleged breach by plaintiff, as no communication of such termination was made. Plaintiff was therefore entitled to restitution of all monies paid under the agreement.
