Ratio Decidendi

The first respondent's conduct, including misappropriation of funds, fraudulent registration of vehicles, exclusion of the applicant from business operations, and breach of fiduciary duties, justifies his removal as a member under s36 of the Close Corporations Act. The applicant is entitled to have the first respondent's membership interest transferred to a third party, Zane Dirk Cooper, for N$50.00. The court found no evidence that the acquisition of the farms contravened the Land Reform Act at the time of transfer.
