各股東應將公司資本總額全部繳足,不得分期繳款或向外招募。 The company’s articles must list specified company details. If the representative director does not keep the articles at the company, a fine applies, and repeated refusal triggers additional per-incident fines. 每一股東原則上有一表決權;但章程可改為按出資多寡比例分配表決權。 公司應在本公司備置股東名簿,並記載法定事項。代表公司之董事若不備置,會被罰鍰;再次拒不備置,按次加重處罰。 This provision is deleted.
