Dare International Ltd v Soliman & Anor [2025] EWHC 227 (KB) (05 February 2025)
High Court employment dispute over post-termination restraints, confidential information, and alleged fiduciary and contract breaches involving two former senior traders.
The Court of Appeal held that the judge erred in refusing interlocutory injunctions and a speedy trial. The undertakings offered by the defendants were inadequate to protect the claimant's interests given clear evidence of misuse of confidential information and diversion of clients. The case was not about company ownership but about breaches of fiduciary and contractual duties. The balance of risk of injustice required stronger interim relief and a speedy trial due to the limited duration of the covenants.
The claimant established a high degree of assurance of success at trial on its claims for breach of contract, misuse of confidential information, and enforceability of post-termination restrictions. The court found the PTRs reasonable and proportionate, the claimant had legitimate interests to protect, and damages would not be adequate. The balance of convenience favoured granting modified injunctive relief, disclosure, device imaging, and limited springboard relief. The respondents’ arguments on constructive dismissal, unlawful access, and vagueness of PTRs were rejected at this stage.
