Messrs. Hastings & Co. were personally liable for costs arising from their continued opposition from 21 May 1976 onward because the Official Receiver's declared support (as controller of Mosbert Holdings' voting power) effectively nullified any authority claimed by opposing instructing parties; petitioner is entitled to solicitor-and-client costs for the May hearings while the Official Receiver is entitled to party-and-party costs, subject to the later variation recorded.

    • Authority to instruct solicitors
    • Majority shareholder control vs directors
    • Warranty of authority and solicitor's liability
    • Assessment and scale of costs
    • Discretion of the court on costs
