    The Council decisions disbanding the Wellington Branch were invalid because the purported Council was not lawfully elected, lacked the statutory quorum to act, failed to follow the investigatory and natural justice requirements in the Rules, and the alleged charges were unsubstantial; accordingly the Institute was not entitled to control the Branch bank account and the plaintiff's claims are dismissed.
