The business rescue plan proposed the use of Senwes' security to fund operating costs, which was contrary to section 134(3) of the Companies Act. The existence of additional security did not entitle the business rescue practitioners to dissipate Senwes' cession security. The court rejected the argument that Senwes' vote was inappropriate simply because the business rescue plan might yield a higher return than liquidation.
