There is a serious question to be tried that the loans were unauthorised and possibly misappropriated and that the board resolutions to sell properties may have been motivated by improper/self‑interested purposes; damages would be inadequate because sale of unique real property would irreparably prejudice the company; accordingly the interim injunction should continue, varied to permit sales only with plaintiff's prior written consent.
