The court found on the balance of probabilities that Silverlink advanced the two tranches totalling HK$200,000,000 to Fortune Bell under the Facility Letter, that the Guarantee by Zhang was genuine and enforceable, that the documents were not sham, and that although there was technical non‑compliance with the Money Lenders Ordinance the court would exercise its discretion under s.18(3) (and treat the security as within the statutory exemption once registered) to declare the agreements enforceable; accordingly judgment was entered for Silverlink for the agreed sum and indemnity costs.
