The Company failed to produce sufficiently precise evidence showing that the 4th Settlement Agreement was vitiated or that Madam Liu knew her claims were unfounded; the repeated acknowledgements of liability in settlement agreements, audited accounts, confirmations and public announcements established the debt; without-prejudice material was admissible to show the claims were genuine; accordingly the petition succeeds and a winding-up order is warranted.
