Because Classroom demonstrated a serious issue to be tried and evidence that the Deposit comprises traceable proceeds of the Subscription Monies, and because HKW retains a beneficial interest/equity of redemption in the Deposit, the interlocutory injunction preserving the Deposit should be continued and defendants must make full and frank disclosure before using the Deposit or allowing the Bank to enforce against it.
