Because the company remained a public company the concept of a 'meeting' requires that it be convened within the statutory six‑month period; written resolutions were therefore ineffective and no AGM had taken place; the proper remedy was to order convening of new annual general meetings and that relief was granted under s610 to hold the AGMs on or before 16 November 2014.
