The Court held that the proceedings before the Arbitration Board were arbitration within the Arbitration Ordinance Cap.341 (including as a statutory arbitration), that the Foundation's regulations are subsidiary legislation with legislative effect despite exemptions, that the Arbitration Board erred in law in declining to award costs based on incorrect legal advice, and that Findlay J. properly exercised his power under s.23 to vary the award and award costs to Mr Bird; accordingly the appeal is dismissed and costs awarded to Mr Bird.
