The court held that on the Deceased's death his shares transmitted by operation of law to his personal representative (the Applicant), the lack of any director meant there was no authority within the company to effect registration, and the Applicant therefore qualified as a person aggrieved under s633; accordingly the court must exercise its statutory power to rectify the register and replace the Deceased's name with the Applicant as holder of the 10,000 shares.
