On a holistic assessment the plaintiff failed to establish a solid basis for a real risk of unjustified dissipation: the share transfers, flat sale and resignation were adequately explained as legitimate succession planning, commercial transactions and normal corporate transitions; plaintiff's long delay undermined the asserted risk; and plaintiff committed material non-disclosure to the ex parte judge (notably omission of auction sale proceeds). The Mareva injunction was therefore discharged and the summons dismissed with costs.
