On the evidence, especially the credible account of Mrs Lin and the contemporaneous business card, the plaintiff accepted employment on salary with a discretionary bonus and a gratuitous share offer rather than any contractual 13th month or 10% commission; the plaintiff resigned on 20 August 1994; the defendant failed to prove dishonest breach of fiduciary duty and its late unpleaded allegations could not be relied upon, therefore both the claim and counterclaim fail.
