Given the discrepant statements of affairs, missing or inconsistent books and records, and payments out of the company accounts, the Applicant established a prima facie case that examination under s.221 was necessary; the application was not premature because the creditor has independent locus and had consulted the liquidators; accordingly the court exercised its discretion to award the Applicant its costs and ordered the examination to proceed.
