On the balance of probabilities the court found insufficient credible evidence to hold the 1st defendant liable as an undisclosed principal or partner and insufficient evidence to prove that the 3rd defendant became a transferee of the subsisting school business or agreed to pay plaintiffs; accordingly claims against 1st and 3rd defendants were dismissed and judgment was entered against the 2nd defendant for the sums admitted plus damages under clause 5(f).
