The court found the Nov 2016 agreement was intended to effect the share transfer prior to full payment such that the plaintiff was not a bona fide purchaser who could defeat the prior equities; the defendant's refusal to register the transfer was within its rights and made in good faith on legitimate grounds; accordingly the plaintiff's claim under s152 Cap.622 was dismissed and the defendant was not ordered to register the transfer.
