The Court held the 2014 board and shareholders resolutions validly authorized the companies and Mr Li to commence and conduct this litigation; the ND2A entries were false and properly deleted under s42(4); procedural challenges to the 2014 resolutions failed (quorum and filing objections did not invalidate appointments); accordingly the appeal was dismissed and costs awarded.
