Leave to appeal was refused because the intended appeal had no reasonable prospect of success: the amendments did not have the effect of depriving the defendants of an accrued limitation defence (relation back was not engaged and concealment can be pleaded in reply), the primary facts supporting the fraud allegation were already pleaded and could support an arguable case of fraudulent breach, and the amendments arose out of the same or substantially the same facts as the original causes of action.
