Majority held the further deposit under clause 2(c) was payable only upon execution of the formal SPA and was not paid unconditionally because the cheque was tendered subject to a solicitors' undertaking which did not convert the conditional payment into an effective payment; therefore clause 7 remained available to the Vendor and did not require payment equivalent to the further deposit, so the Recorder's order for specific performance was overturned.
