The Court sanctioned the Scheme and granted a permanent stay because the Scheme served a permissible restructuring purpose, creditors (except for Mr Li who was separately treated) formed an appropriate class, convening and disclosure requirements were met, the statutory majorities voted in favour, the Scheme yielded materially better recoveries than liquidation, there was sufficient connection to Hong Kong, and the conditions for a permanent stay were satisfied upon the Scheme becoming effective.
