Vendor failed to prove title because it did not produce the original or certified copy of the Government Lease as required by section 13 and clause 9(a), failed to produce the Surrender Agreement and left material uncertainty in the DMC shares, and its last minute answers and unilateral change of completion date amounted to repudiation; accordingly plaintiffs entitled to return of deposit with interest and costs.
