Given the defective execution of the confirmatory assignment (wrong company seal), the dissolved company retained the remaining beneficial interest as bare trustee; the Secretary for Justice disclaimed any bona vacantia claim; accordingly, justice requires a vesting order under section 45(b)(iii) of the Trustee Ordinance vesting all the dissolved company's pre-dissolution interest in the plaintiffs.
