The Disputed Documents were factually inaccurate and filed without the company's authority, but the plaintiff failed to adduce evidence that the continued presence of the information would cause material damage as required by s.42(4); therefore removal was not justified and an order for rectification was appropriate.

The court accepted the petitioners' evidence that the majority shareholder exercised control by improper allotments and coercive conduct that was unfairly prejudicial to the minority; accordingly the petition is well‑founded and just and equitable relief (including a buy‑out mechanism) is appropriate, with detailed relief and valuation to be determined on further directions.
