On the facts the Company failed to raise a bona fide dispute on substantial grounds in respect of each of the four items claimed (loans, additional loan, director's entertainment allowance and acquisition costs). The Company could not establish that any pre‑incorporation agreement bound it or was validly ratified post‑incorporation. Accordingly the petitioner demonstrated an undisputed petitioning debt of HK$970,603.02 and was entitled to a winding‑up order.
