The Court of Appeal upheld the order for examination under s221: there is no principle barring a s221 examination while civil proceedings are pending; the court must balance the liquidators' reasonable requirements against risk of oppression; given the large unexplained shortfall, SFC admissions and the liquidators' knowledge, the balance favoured ordering examination and the judge did not misapply the law.
