Clause 3.2 and Clause 13.1 must be read together; the contractual scheme and language show a party may give written notice before or after the third anniversary to bring about termination on any date after the first three years by giving at least three months' notice and thereby avoid payment of ETP; therefore the 28 September 2024 notice validly terminated the agreement effective 31 December 2024 without ETP and the Defendant must pay the outstanding commissions, and the Defendant's counterclaim for ETP is dismissed.
