Although the execution by Winsome of the 1968 indenture was irregular under article 129(a), the managing director was empowered by articles 98 and 100 to bind the company in the acts performed; the request and direction to the vendor was effective as a memorandum, the confirmor had effectively disposed of any assignable interest, and in any event the assignment pre-dated the 1984 Conveyancing and Property Ordinance requirement for deeds. Therefore the irregular execution did not defeat title and the vendor proved good title to the purchasers.
