On an objective construction of the Agreement read in its context, supported by the parties' subsequent conduct, the Court found the Preliminary Settlement Agreement to be a binding agreement intended to be performed without further substantive negotiation; clause V.17 did not show an intention that the Agreement remain non-binding until a formal Tomlin order; the absence of an express completion date for the flat transfer was not fatal and a reasonable time could be implied; accordingly the respondents' summonses were allowed and the winding-up petitions were to be dismissed on 20 July 2015…
