On the balance of probabilities the court found the Swap Agreement existed and the disputed HK$450,000 was settled by set-off against Chan's investments and shares; Chan executed the transfer documents in blank at Leung's request and the shares were transferred to Leung's nominee (Wang); accordingly the Defendant's counterclaim for the disputed sum was dismissed and the Plaintiff was entitled to judgment for rent arrears, interest and costs.
