On the balance of probabilities the court accepted the plaintiff's evidence over the 2nd defendant's; it found that valid binding oral agreements existed (May 1978 with Chiu and August 1978 with Ma), that Mr. Ma knew of and assumed Chiu's liabilities and thereby held for the plaintiff a one-third equitable interest/entitlement to proceeds; there was no sustainable case against the 1st defendant and the plaintiff was entitled to an account and payment from the 2nd defendant; the counterclaim was dismissed except for an agreed entry for HKD 114,960.
