On proper construction of the documents the SBLC was intended as an alternative payment method under the Sales Agreement only and not to secure outstanding purchase orders under the pre‑existing Master Agreement; plaintiff made a sufficiently strong case to engage the agreement exception and satisfy the higher threshold for restraining presentation of the SBLC, so the interlocutory injunction was granted (subject to the usual undertaking as to damages).
