Leave to appeal was granted because the Court of Final Appeal should determine whether the Hone v Page principles apply to breaches by agents of prohibitory injunctions where the agent acted without direction and where agent conduct is not proven beyond doubt; and whether, alternatively, the derivative action was properly constituted under the Companies Ordinance or discloses a viable cause of action, and whether long non‑prosecution affects continuation and enforcement of the injunction. A stay of execution of the committal order was necessary pending appeal.
