On the facts and law the court held there was no legal obligation on the broker to 'cross' grey market (when‑issued) trades on opening day that would give rise to personal liability; incorporation of Exchange Rules in the client agreement did not import an obligation to modify the Rules or impose personal liability for unlisted/when‑issued trades; there was no relevant market practice or express agreement and s.76 did not apply to unlisted grey market trades, therefore defendant not liable and plaintiff's claim dismissed.
