The court held that on the evidence the Petitioner had not established an equitable assignment in a manner sufficient to dispense with the procedural requirement to join the assignor. Because invoices, the statutory demand and petition did not evidence notice or consideration and the evidence was ambiguous as to who paid the charges, the court refused to grant winding up relief to the Petitioner without Lau being joined.
