Although leave to continue the derivative action established a prima facie case, the court exercised its discretion against ordering an indemnity of costs because the pleadings contained no averment of loss or damage to the company and, given the company’s charitable nature and reliance on public funds and subsidies, a hypothetical independent board would not authorise use of company funds to pursue this litigation; accordingly the Registrar's refusal to make an indemnity order was upheld.
