The Stakeholding Arrangement was discharged because the factual basis for it had ended: the 3rd defendant had replaced Madam Leong as Huijian's legal representative and there was no evidence Madam Leong had a legal duty or would incur liability if the items were released to the 3rd defendant; therefore the Stakeholding Items, belonging to Huijian, should be returned to Huijian through its legal representative (the 3rd defendant).
