On the evidence of the parties' conduct, pleadings and accounting practices the court found the venture profits were to be shared 40% to Pau and 30% each to Lui and Law; the HK$3,000,000 advanced by Lui was a loan repayable prior to profit calculation; Pau was not entitled to a pre-profit salary; the HK$250,000 deposit could not be attributed to Lui; and the one share held by Lui in PKCC Ltd. was held as nominee for Pau, with no agreement to pay Lui 50% of PKCC Ltd. profits.
